Common snag: Operating without a valid receipt can bring penalties, so the buyer should not open the doors until the right one is in place.

Two Possible Offices

Florida businesses usually need a local business tax receipt. In this area, the City of Tampa runs its own business tax program, and Hillsborough County runs one for businesses outside city limits. Which one applies depends on the street address.

Other cities, such as Plant City, Clearwater and St. Petersburg, run their own programs. Check the office for the city where you operate.

Why Buyers Ask About It

A buyer needs the right receipt to operate lawfully. Some local offices let a receipt move to a new owner with paperwork, while others expect the buyer to apply for a new one. The rule varies, so ask each office how it handles an ownership change.

Attorneys often add the receipt to the closing checklist so nobody is surprised on day one.

What a Seller Usually Does

  • Find every local receipt your business holds, including any for a second location
  • Ask the issuing office whether it can transfer or must be closed
  • Pay any renewal due before closing so the account is current
  • Give the buyer copies of the receipts and the renewal dates
  • Keep proof that you closed or transferred each one

Zoning and Use Approvals

Some receipts depend on zoning approval for the location. If your business operates under a special approval, ask whether it stays with the property or with your company. A buyer who changes the business use may need a new approval.

Certain trades also need a state license on top of the local receipt. See the contractor license checklist for one common example.

Timing

Contact the offices while the sale is in diligence, not on closing day. Offices vary in how fast they act, and a buyer's lender may want proof the receipt is in place.

After closing, cancel any receipt that does not transfer, and save the confirmation.

Questions Owners Ask

Do I owe tax after I sell? You may owe any renewal that was due before closing. Ask the office for a final balance if you are closing the account.

What if I have more than one location? Each address may need its own receipt, so list them all.
